在您确认切换至 D5 中国大陆环境（“CN 环境”）前，请您仔细阅读并充分理解本《账号与数据迁移告知及确认》（“本确认”）的全部内容，特别是与账号创建、数据迁移、原账号停用、数据删除、适用规则变更及您的权利相关的内容。您点击确认、勾选同意框或以其他明确方式作出接受，即表示您已阅读、理解并同意本确认的全部内容。

Before you confirm the switch to the D5 mainland China environment (the "CN Environment"), please read and fully understand all contents of this Account and Data Migration Notice and Confirmation (this "Confirmation"), especially those relating to account creation, data migration, deactivation of your original account, data deletion, changes to applicable rules, and your rights. By clicking confirm, checking the relevant consent box, or otherwise expressly accepting this Confirmation, you acknowledge that you have read, understood, and agreed to all of its contents.

一、背景与目的

1. Background and Purpose

由于部分用户在当前 Global 环境使用 D5 软件时可能出现网络连接及稳定性问题，D5 现提供切换至 CN 环境的选项，以改善服务可用性和使用体验。是否切换由您自行决定；如您不同意切换，您的现有 Global 账号不会因本确认而自动变更。

Some users may experience network connectivity or stability issues when using D5 software in the current Global environment. D5 is therefore offering an option to switch to the CN Environment in order to improve service availability and user experience. Whether to switch is entirely your choice. If you do not agree to switch, your existing Global account will not be changed automatically as a result of this Confirmation.

二、迁移安排

2. Migration Arrangement

如您确认切换，D5 将以您现有邮箱账号为基础，在 CN 环境中为您创建对应账号，并将您原 Global 账号项下的相关数据迁移至位于中国杭州阿里云服务器的 CN 环境中，以便后续由 CN 环境继续向您提供服务。除页面说明、产品提示或 D5 后续通知另有说明外，D5 向您发出迁移完成通知，或您已可通过 CN 环境正常登录并访问相应服务时，即视为本次迁移完成。

If you confirm the switch, D5 will create a corresponding account for you in the CN Environment based on your current email account, and will migrate the relevant data under your existing Global account to the CN Environment hosted on Alibaba Cloud servers in Hangzhou, China, so that services can continue to be provided to you through the CN Environment. Unless otherwise stated on the page, in product prompts, or in subsequent notices from D5, the migration shall be deemed completed when D5 sends you a migration completion notice, or when you are able to log in to the CN Environment and access the relevant services normally.

您无需自行重新注册 CN 环境账号。除页面说明、产品提示或 D5 后续通知另有说明外，D5 将根据本确认为您完成对应账号创建及迁移操作。

You do not need to separately register a new account for the CN Environment. Unless otherwise stated on the page, in product prompts, or in subsequent notices from D5, D5 will complete the corresponding account creation and migration operation for you in accordance with this Confirmation.

三、迁移数据范围

3. Categories of Data to Be Migrated

本次迁移涉及的数据类别主要包括以下与您现有 Global 账号使用相关、且为完成本次迁移及在 CN 环境继续提供服务所必要的数据：

The categories of data involved in this migration mainly include the following data relating to your existing Global account and necessary for completing this migration and continuing to provide services in the CN Environment:

（1）账号资料及身份信息（如邮箱账号、账号标识、昵称、头像、注册时间，以及用于身份验证的登录凭证，包括但不限于登录密码等）；

(1) account and identity information, such as your email account, account identifier, nickname, avatar, registration time, and authentication credentials, including without limitation login password;

（2）用户扩展信息（如语言偏好、时区等个性化设置）；

(2) user extended information, such as language preference, time zone, and other personalization settings;

（3）个人 Showreel/全景图作品集及其中包含的图片、视频等项目文件信息、已生成的 Showreel 分享链接；

(3) personal Showreel/panorama portfolio projects and the image, video or other file information contained therein; generated Showreel sharing links;

（4）个人云盘容量使用记录、个人 Studio 预设、点券余额及点券变动记录、素材收藏记录；

(4) personal cloud storage capacity usage records; personal Studio presets; credit/coupon balance and transaction records; asset favorite records;

（5）团队使用相关的数据，包括团队基本信息、团队成员关系及角色权限、团队分组及成员归属、团队共享盘、团队 Showreel/全景图作品集及相关文件、团队全景图分享链接、团队云盘容量记录、团队成员变更记录、团队功能配置、团队 Studio 预设；

(5) team-related data, including team basic information, team member relationships and role permissions, team groups and member allocation, team shared drive, team Showreel/panorama portfolio projects and related files, team panorama sharing links, team cloud storage capacity records, team member change records, team feature configurations, team Studio presets;

（6）团队版订阅记录及团队版订单衔接所需信息（详见第六条）。

(6) Team Edition subscription records, and information necessary for Team Edition order continuity (see Section 6 for details).

迁移完成后，无论您的原 Global 账号为个人 Pro 版还是团队版/企业版项下账号,其在 Global 环境下的会员等级均将统一降级为社区版/免费版(团队版/企业版订阅权益在 CN 环境的衔接处理，详见第六条)。经销商归属关系不作为历史数据直接迁移；迁入 CN 环境后，D5 或其指定运营人员可根据实际业务安排重新进行经销商归属标记。

After the migration is completed, regardless of whether your original Global account is an individual Pro account or an account under a Team Edition / Enterprise Edition subscription, its membership tier in the Global environment will be uniformly downgraded to the Community/Free tier. The continuity of Team Edition / Enterprise Edition subscription rights in the CN Environment will be handled in accordance with Section 6 of this Confirmation. Distributor attribution will not be migrated as historical data directly. After the account is migrated into the CN Environment, D5 or its designated operation personnel may re-tag distributor attribution based on the applicable business arrangements.

AI 使用记录，包括 Meshy 3D 生成次数、AI 任务明细或类似历史记录，目前不属于本次已确认迁移的数据范围，除非迁移页面、产品提示或 D5 后续通知另有明确说明。若该等数据未被迁移，相关 AI 使用次数、任务明细或历史记录可能无法在 CN 环境中继续展示或使用。D5 如最终决定将上述数据纳入迁移范围,将通过迁移页面、产品提示或合理方式另行告知您。

AI usage records, including Meshy 3D generation counts, AI task details or similar historical records, are not currently within the confirmed scope of data to be migrated, unless otherwise expressly stated on the migration page, in product prompts, or in subsequent notices from D5. If such data is not migrated, the relevant AI usage counts, task details or historical records may no longer be displayed or available in the CN Environment. If D5 ultimately decides to include the above data within the migration scope, D5 will separately notify you through the migration page, product prompts, or other reasonable means.

For more complete information regarding the categories of data, methods of processing, and your relevant rights, please refer to the D5 Privacy Policy applicable to the CN Environment.

四、CN 账号与原Global 账号的处理方式

4. Handling of Your CN Account and Existing Global Account

您无需自行重新注册。D5 将以您现有邮箱账号为基础在 CN 环境中创建对应账号。迁移完成后，您将使用该邮箱账号登录 CN 环境。为便于您在迁移后继续登录和使用 CN 环境，D5 将以技术上可行的方式迁移您的身份验证相关凭证(以哈希值等加密形式存储和迁移)，以便您在迁移后能够以原邮箱及密码登录 CN 环境。基于账号安全、系统兼容性或合规要求，D5 仍可能要求您在首次登录 CN 环境时完成密码重置、二次验证或其他必要的身份验证流程，具体以迁移页面说明、产品提示或 D5 后续通知为准。

You do not need to register again by yourself. D5 will create a corresponding account for you in the CN Environment based on your current email address. After the migration is completed, you will use that email address to log in to the CN Environment. To enable you to continue logging in to and using the CN Environment after the migration, D5 will, where technically feasible, migrate your authentication-related credentials, which are stored and migrated in encrypted forms such as hash values, so that you may log in to the CN Environment after the migration using your original email address and password. For account security, system compatibility, or compliance reasons, D5 may still require you to reset your password, complete two-factor verification, or complete other necessary identity verification processes upon your first login to the CN Environment, subject to the migration page, product prompts, or subsequent notices from D5.

迁移完成后，原 Global 账号将保留，但其会员等级将统一降级为社区版/免费版(详见第六条);您的原 Global 账号本身不会因本次迁移被注销或停用。对于团队版/企业版账号或团队项下成员账号，原 Global 环境中与该团队服务相关的团队数据，包括但不限于团队基本信息、团队成员关系、团队共享盘、团队 Showreel、团队订阅及其他团队相关数据，将在迁移完成后保留一个月，并于该期限届满后自动删除；如同一用户在 Global 环境中同时存在个人账号数据或个人 Pro 版相关数据，该等个人账号数据将按照下述个人 Pro 版账号规则处理。对于个人 Pro 版账号，除非页面说明、产品提示或 D5 后续通知另有说明，迁移完成后，原 Global 环境中的个人账号数据不会因本次迁移而自动删除。本次迁移为单向迁移，迁移至 CN 后原则上不再支持回迁。在迁移未成功完成前，D5 原则上不会仅因已提交迁移申请而提前删除原 Global 账号项下相关数据。

After the migration is completed, your original Global account will be retained, but its membership tier will be uniformly downgraded to the Community/Free tier (see Section 6); your original Global account itself will not be cancelled or deactivated as a result of this migration. For Team Edition / Enterprise Edition accounts or member accounts under a team, team data in the original Global environment that relates to the relevant team services, including without limitation team basic information, team member relationships, team shared drive, team Showreel, team subscriptions, and other team-related data, will be retained for one month after the migration is completed and will be automatically deleted upon expiry of that period. If the same user also has personal account data or individual Pro-related data in the Global environment, such personal account data will be handled in accordance with the individual Pro account rules below. For individual Pro accounts, unless otherwise stated on the page, in product prompts, or in subsequent notices from D5, the personal account data in the original Global environment will not be automatically deleted as a result of this migration. This migration is one-way only, and migration back to the Global environment will generally not be supported. Before the migration has been successfully completed, D5 will in principle not delete the relevant data under your original Global account solely because a migration request has been submitted.

五、团队版/企业版的特别说明

5. Special Note for Team Edition / Enterprise Edition

如您使用的是团队版或企业版软件，由于本次迁移涉及个人数据处理，原则上仍需相关团队成员分别作出确认和同意。D5 可能迁移与团队服务连续性相关的必要团队数据，包括团队基本信息、团队成员关系及角色权限、团队分组、团队共享盘、团队 Showreel、团队分享链接、团队云盘容量、成员变更记录、团队功能配置、团队 Studio 预设、团队订阅记录及团队版订单衔接所需信息。若团队内存在成员未完成确认或不同意迁移，D5 可根据团队结构、数据关联关系、产品功能及技术可行性，决定暂缓该团队迁移、仅迁移已确认成员相关数据、要求团队管理员补充协调，或采取其他合理处理方式。

If you are using the Team Edition or Enterprise Edition, because this migration involves the processing of personal data, each relevant team member will in principle need to provide their own confirmation and consent. D5 may migrate necessary team data related to service continuity, including team basic information, team member relationships and role permissions, team groups, team shared drive, team Showreel, team sharing links, team cloud storage capacity, member change records, team feature configurations, team Studio presets, team subscription records, and information necessary for Team Edition order continuity. If any team member fails to provide confirmation or does not agree to the migration, D5 may, depending on the team structure, data relationships, product features, and technical feasibility, defer the team migration, migrate only data relating to members who have confirmed the migration, request the team administrator to coordinate further, or take other reasonable measures.

六、适用规则的变更及影响

6. Change of Applicable Rules and Related Effects

迁移完成后，您将适用 CN 环境下的《D5服务通用条款》《D5渲染器用户协议》《D5隐私政策》及其他相关规则。您的相关数据将由中国境内服务器进行存储和处理。处理主体、服务器位置、客户支持流程、功能入口、付款或价格展示方式等，可能与 Global 环境存在差异；部分功能、页面内容、服务规则或运营安排也可能不完全相同。

After the migration is completed, your use of the CN Environment will be governed by the D5 General Terms of Service, the D5 Render Terms of Service, the D5 Privacy Policy, and other applicable rules of the CN Environment. Your relevant data will be stored and processed on servers located in China. The processing entity, server location, customer support process, feature access points, payment or price display methods, and other service arrangements may differ from those in the Global environment. Certain features, page content, service rules, or operational arrangements may also not be identical.

关于您原 Global 账号项下的订阅权益及会员等级,迁移后将按以下方式分别处理：

Subscription rights and membership tiers under your original Global account will be handled separately after the migration as follows:

（1）团队版/企业版订阅权益：您所在团队通过经销商或其他渠道已购买且仍在有效期内的团队版/企业版订阅权益，在迁移至 CN 环境后将继续有效直至该订阅期届满，本次迁移本身不当然导致前述订阅期限缩短或已生效授权范围减少。为实现系统续约、授权识别及服务连续性，D5 可能仅迁移每个团队最新一条团队版订单记录，并将该迁移订单的金额设置为0；历史订单、历史付款记录、发票或完整交易流水不属于本次迁移的数据范围。

(1) Team Edition / Enterprise Edition Subscription Rights: Any Team Edition or Enterprise Edition subscription rights that your team has purchased through distributors or other channels and that remain within their validity period will continue to be valid after the migration to the CN Environment until such subscription period expires. The migration itself shall not by itself result in any shortening of the foregoing subscription term or any reduction of the license scope already in effect. To support system renewal, license recognition, and service continuity, D5 may migrate only the latest Team Edition order record for each team, with the amount of such migrated order set to zero. Historical orders, historical payment records, invoices, and complete transaction histories do not fall within the scope of data to be migrated.

（2）个人账号会员等级：迁移完成后，您的个人账号会员等级将统一重置为 CN 环境下的社区版/免费版，与 Global 环境下的相应安排保持一致。如您希望在 CN 环境下继续享有付费会员权益，需根据 CN 环境的商业政策另行订阅。

(2) Personal Account Membership Tier: After the migration is completed, the membership tier of your personal account will be uniformly reset to the Community/Free tier under the CN Environment, consistent with the corresponding arrangements in the Global environment. If you wish to continue enjoying paid membership benefits in the CN Environment, you will need to subscribe separately in accordance with the commercial policies of the CN Environment.

（3）经销商归属及后续商业安排：您原 Global 账号项下的经销商归属关系不随本次迁移作为历史数据直接迁入，迁入 CN 环境后由 D5 根据 CN 环境的商业政策重新标记。后续的续费操作、账单管理、价格展示、续费入口及经销商归属展示，均需遵循 CN 环境的具体商业政策或通过指定的 CN 环境经销商办理，可能与 Global 环境存在差异。

(3) Distributor Attribution and Subsequent Commercial Arrangements: The distributor attribution relationships under your original Global account will not be directly migrated as historical data through this migration. After the account is migrated into the CN Environment, distributor attribution will be re-tagged by D5 in accordance with the commercial policies of the CN Environment. Subsequent renewal operations, billing management, price display, renewal access points, and distributor attribution display will all be subject to the specific commercial policies of the CN Environment or processed through designated distributors for the CN Environment, and may differ from those in the Global environment.

请您特别注意，D5 Works 平台服务目前不适用于 CN 环境。迁移至 CN 环境后，您将无法在 CN 环境中访问或使用 D5 Works 平台服务，包括但不限于通过 D5 Works 浏览、购买、下载或使用相关数字资产产品，或享受仅适用于 Global环境下 D5 Works 的相关会员权益、折扣、下载额度或其他平台功能。若您继续在 Global环境下访问或使用 D5 Works，该等访问、交易及产品使用将适用 D5 Works 服务条款、D5 Works 许可协议及其他相关平台规则，并可能需要使用 Global环境账号及权益。CN 环境下的账号、订阅、权益、下载额度、交易记录或其他数据不会自动与 Global环境下的 D5 Works 平台互通、互认或同步。

Please note in particular that the D5 Works platform services are currently not available in the CN Environment. After migrating to the CN Environment, you will not be able to access or use the D5 Works platform services in the CN Environment, including without limitation browsing, purchasing, downloading, or using relevant digital asset products through D5 Works, or enjoying membership benefits, discounts, download quotas, or other platform features that apply only to D5 Works in the Global environment. If you continue to access or use D5 Works in the Global environment, such access, transactions, and use of products will be governed by the D5 Works Terms of Service, the D5 Works License Agreement, and other applicable platform rules, and may require the use of a Global environment account and benefits. Accounts, subscriptions, benefits, download quotas, transaction records, or other data in the CN Environment will not automatically interoperate, be recognized, or be synchronized with the D5 Works platform in the Global environment.

七、您的选择与权利

7. Your Choice and Rights

您可以自行决定是否确认迁移。若您不同意迁移，请不要点击确认，您的账号不会因此自动迁移。

You may decide for yourself whether to confirm the migration. If you do not agree to the migration, please do not click confirm, and your account will not be migrated automatically.

如您确认迁移后希望进一步了解、咨询、注销 CN 账号、请求删除信息或行使其他个人信息相关权利，请按照适用于 CN 环境的《D5 隐私政策》载明的方式与我们联系。

If, after confirming the migration, you wish to make further inquiries, request support, cancel your CN account, request deletion of your information, or exercise other rights related to your personal information, please contact us in accordance with the D5 Privacy Policy applicable to the CN Environment.

八、迁移申请期限与批次安排

8. Migration Request Deadline and Batch Schedule

为统一安排本次账号与数据迁移，D5 将在各迁移批次启动前或 D5 指定的其他合理期限内收集拟迁移用户的确认和同意，并按照既定批次安排启动后续数据迁移操作。本次迁移将自 2026 年 5 月底开始，每月安排一次，最后一次迁移预计于 2026 年 12 月进行。如因技术、合规、运营安排或其他合理原因需要调整迁移批次或时间，D5 将通过页面、公示、站内通知、邮件或其他合理方式另行通知。

To facilitate the account and data migration in an orderly manner, D5 will collect confirmations and consents from users who wish to migrate before each migration batch starts or within another reasonable period designated by D5, and will proceed with the relevant data migration arrangements in accordance with the scheduled migration batches. The migration will begin at the end of May 2026, with one migration batch each month, and the final migration is currently expected to take place in December 2026. If any migration batch or schedule needs to be adjusted due to technical, compliance, operational, or other reasonable causes, D5 will provide further notice through the page, public announcement, in-product notice, email, or other reasonable means.

如您希望将现有 Global 账号切换至 CN 环境，请您务必在相应迁移批次截止前完成确认。原则上，D5 将在每月迁移批次启动前统一收集并整理当期确认名单；最后一次迁移完成后，D5 将原则上不再接受新的迁移申请。

If you wish to switch your existing Global account to the CN Environment, please complete your confirmation before the applicable deadline for the relevant migration batch. In principle, D5 will collect and organize the list of confirmed users before each monthly migration batch is launched. After the final migration has been completed, D5 will generally no longer accept new migration requests.

如您未在相应期限前确认迁移，将视为您选择继续使用现有 Global 账号，D5 不会因您未确认而自动为您创建 CN 环境账号或迁移相关数据。

If you do not confirm the migration before the applicable deadline, you will be deemed to have chosen to continue using your existing Global account, and D5 will not automatically create a CN Environment account for you or migrate your relevant data.

九、风险提示与异常处理

9. Important Notice and Exception Handling

本次切换涉及将您原 Global 账号项下的相关数据迁移至中国境内服务器处理。请您在充分阅读本确认及相关协议文件后，再决定是否确认迁移。

This switch involves migrating the relevant data under your original Global account to servers located in China for processing. Please read this Confirmation and the relevant agreement documents carefully before deciding whether to confirm the migration.

D5 将在本次迁移过程中采取合理的技术和组织措施(包括但不限于传输加密、访问控制等),以保护迁移数据的安全。

D5 will take reasonable technical and organizational measures during this migration, including but not limited to transmission encryption and access controls, to protect the security of the migrated data.

如迁移过程中出现失败、延迟或其他异常情况，D5 将根据实际情况提供相应支持和处理。您理解并同意，在迁移前后或迁移过程中，部分功能、数据展示或服务访问可能存在短期延迟、差异或暂时不可用的情况, 且因 CN 环境与 Global环境的服务范围不同，部分 Global环境下可用的服务或权益，包括 D5 Works 平台服务，可能无法在 CN 环境中继续使用。例如，Showreel 或团队全景图中的图片、视频或分享链接可能因 CDN 域名切换、文件路径适配、数据库字段适配或其他技术原因，在迁移后一段时间内出现访问延迟、链接变化、展示差异或暂时不可用；素材收藏、Studio 预设、云盘容量、点券记录、团队配置等数据也可能因 Global 环境与 CN 环境的系统差异而存在展示口径或功能入口差异。D5 将在合理商业范围内采取措施进行修复、适配或说明，但不保证所有历史数据、历史记录、展示样式或使用体验均可与 Global 环境完全一致。

If any failure, delay, or other abnormal issue occurs during the migration process, D5 will provide corresponding support and handling as appropriate. You understand and agree that, before, during, or after the migration, certain functions, data displays, or service access may be subject to temporary delay, differences, or temporary unavailability, and due to differences in the service scope between the CN Environment and the Global environment, certain services or benefits available in the Global environment, including the D5 Works platform services, may not continue to be available in the CN Environment. For example, images, videos, or sharing links in Showreel or team panorama projects may experience access delays, link changes, display differences, or temporary unavailability for a period of time after the migration due to CDN domain switching, file path adaptation, database field adaptation, or other technical reasons. Asset favorites, Studio presets, cloud storage capacity, credit/coupon records, team configurations, and similar data may also be displayed differently or accessed through different feature entry points due to system differences between the Global environment and the CN Environment. D5 will take commercially reasonable measures to repair, adapt, or explain such issues, but does not guarantee that all historical data, historical records, display formats, or user experience will be exactly the same as in the Global environment.

11. Confirmation and Effectiveness

您点击确认、勾选同意框或以其他明确方式接受本确认，即表示您同意 D5 按照本确认为您在 CN 环境创建对应账号，并将原 Global 账号项下的本确认第三条所述数据及为完成迁移、账号创建、授权衔接、团队服务连续性、系统适配和安全验证所必要的相关数据迁移至中国杭州阿里云服务器，同时您确认已阅读并理解适用于 CN 环境的相关协议文件。您进一步理解并同意，部分数据可能不属于本次已确认迁移范围，或可能因技术、合规、产品或运营原因无法完整迁移、展示或继续使用，具体以本确认、迁移页面、产品提示或 D5 后续通知为准。本确认自您作出上述确认之时起生效。

By clicking confirm, checking the relevant consent box, or otherwise expressly accepting this Confirmation, you agree that D5 may create a corresponding account for you in the CN Environment and migrate the data described in Section 3 of this Confirmation and other relevant data necessary for completing the migration, account creation, license continuity, team service continuity, system adaptation, and security verification under your original Global account to Alibaba Cloud servers in Hangzhou, China. You also confirm that you have read and understood the relevant agreement documents applicable to the CN Environment. You further understand and agree that certain data may not fall within the confirmed scope of this migration, or may not be fully migrated, displayed, or continuously available due to technical, compliance, product, or operational reasons, subject to this Confirmation, the migration page, product prompts, or subsequent notices from D5. This Confirmation shall take effect from the time you provide such confirmation.

十二、 出口管制与制裁合规

12. Export Control and Sanctions Compliance

您声明并保证，您（及您所代表的组织）将遵守适用于您和相关服务的出口管制、经济制裁及其他相关法律法规，且不位于适用法律明确禁止提供相关软件或服务的国家或地区，未被列入任何适用的受制裁主体名单（包括但不限于美国财政部海外资产控制办公室（OFAC）的特别指定国民名单（SDN）、美国商务部实体清单等），且不会将迁移至 CN 环境的 D5 软件及服务用于任何适用的出口管制法律法规所禁止的最终用途。如您违反上述声明，D5 有权立即中止或终止您的账号及服务，且不承担任何退款或赔偿责任。

You represent and warrant that you (and the organization you represent) will comply with the export control, economic sanctions, and other applicable laws and regulations applicable to you and the relevant services, that you are not located in any country or region to which the provision of the relevant software or services is prohibited under applicable law, and that you are not listed on any applicable sanctioned party lists (including but not limited to the SDN List of the U.S. Department of the Treasury's OFAC, or the Entity List of the U.S. Department of Commerce); and that you will not use the D5 software and services migrated to the CN Environment for any end-uses prohibited by applicable export control laws and regulations. If you breach the foregoing representations, D5 reserves the right to immediately suspend or terminate your account and services without any liability for refunds or compensation.

十三、 法律适用与争议解决

13. Governing Law and Dispute Resolution

本确认的订立、执行、解释及争议解决均适用中华人民共和国法律（为本确认之目的，不包括香港、澳门特别行政区及台湾地区法律），排除任何冲突法的适用。因本确认或本次数据迁移引起的或与此相关的任何争议，双方应首先通过友好协商解决；协商不成的，任何一方均有权将争议提交至 D5 中国境内运营主体所在地有管辖权的人民法院诉讼解决。

The conclusion, execution, interpretation, and dispute resolution of this Confirmation shall be governed by the laws of the People's Republic of China (for the purpose of this Confirmation, excluding the laws of the Hong Kong SAR, Macao SAR, and Taiwan region), without regard to its conflict of law principles. Any dispute arising out of or in connection with this Confirmation or this data migration shall first be resolved through friendly negotiation between the parties. If no settlement can be reached, either party shall have the right to submit the dispute to the competent People's Court in the jurisdiction where D5's operating entity in China is located.

14. Language Precedence

本确认以中英文双语提供。英文版本仅供参考和便利阅读之用。如中英文版本之间存在任何不一致或冲突，应以中文版本为准。

This Confirmation is provided in both Chinese and English. The English version is provided for reference and convenience only. In the event of any inconsistency or conflict between the Chinese and English versions, the Chinese version shall prevail.
